These Terms and Conditions ("Agreement") govern the provision of search engine optimization (SEO) and social media marketing (SMM) services ("Services") by divclick.in ("Provider") to the users ("Clients") of divclick.in. By using the Services, the Clients agree to be bound by this Agreement.
1. Scope of Services
- 1.1 Provider agrees to offer search engine optimization (SEO) and social media marketing (SMM) services to Clients on divclick.in.
- 1.2 The Services may include, but are not limited to, keyword research, on-page optimization, link building, content creation, social media strategy, and social media content management.
2. Client Responsibilities
- 2.1 Clients shall provide accurate and complete information required for the provision of the SEO and social media marketing services.
- 2.2 Clients are responsible for providing access to their website, social media accounts, and any other necessary credentials or permissions required for the implementation of the Services.
- 2.3 Clients shall ensure that all materials provided to the Provider, such as logos, images, and content, do not infringe upon any copyright, trademark, or intellectual property rights of third parties.
3. Payment Terms
- 3.1 Clients agree to pay the Provider the agreed-upon fee for the Services rendered.
- 3.2 Payment terms, including the schedule and method of payment, will be specified on divclick.in or in a separate agreement.
- 3.3 Any additional work or expenses incurred that are beyond the scope of the original agreement may require an additional fee.
4. Intellectual Property
- 4.1 Clients retain ownership of any materials they provide to the Provider for the purpose of the project.
- 4.2 The Provider retains ownership of any proprietary tools, methodologies, or strategies developed or utilized during the provision of the Services.
- 4.3 Upon receipt of full payment, the Provider grants the Client a non-exclusive, non-transferable license to use any deliverables specifically created for the Client as part of the Services.
5. Confidentiality
- 5.1 Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project.
- 5.2 This confidentiality obligation shall survive the termination of this Agreement.
6. Limitation of Liability
- 6.1 The Provider shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Services or any impact on the Client's search engine rankings or social media performance.
- 6.2 The Provider's liability shall be limited to the amount paid by the Client for the Services.
7. Results and Performance
- 7.1 While the Provider will make reasonable efforts to improve the Client's search engine rankings and social media performance, the Provider does not guarantee specific results or outcomes.
- 7.2 The success of SEO and social media marketing is influenced by various factors beyond the Provider's control, such as search engine algorithms and user behavior.
8. Terminatio
- 8.1 Either party may terminate this Agreement by providing written notice to the other party.
- 8.2 In the event of termination, the Client shall pay for any outstanding fees for Services rendered up to the termination date.
9. Governing Law and Jurisdiction
- 9.1 This Agreement shall be governed by and construed in accordance with the laws of India.
- 9.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Vadodara - Gujarat, India.
By using the Services on divclick.in, Clients acknowledge that they have read, understood, and agreed to abide by these Terms and Conditions.
