These Terms and Conditions ("Agreement") govern the provision of app design and development services ("Services") by DivClick ("Provider") to the users ("Clients") of divclick.in. By using the Services, the Clients agree to be bound by this Agreement.
1. Scope of Services
- 1.1 Provider agrees to offer graphic design services to Clients on divclick.in.
- 1.2 The Services may include, but are not limited to, logo design, branding, illustrations, packaging design, and print design.
2. Client Responsibilities
- 2.1 Clients shall provide accurate and complete information required for the graphic design process.
- 2.2 Clients are responsible for providing any logos, images, content, and other materials required for the project.
- 2.3 Clients shall ensure that all materials provided to the Provider do not infringe upon any copyright, trademark, or intellectual property rights of third parties.
3. Payment Terms
- 3.1 Clients agree to pay the Provider the agreed-upon fee for the Services rendered.
- 3.2 Payment terms, including the schedule and method of payment, will be specified on divclick.in or in a separate agreement.
- 3.3 Any additional work requested by Clients that is beyond the scope of the original agreement may require an additional fee.
4. Intellectual Property
- 4.1 Clients retain ownership of any materials they provide to the Provider for the purpose of the project.
- 4.2 The Provider retains ownership of all design concepts, drafts, and other materials created during the design process until the final payment is received.
- 4.3 Upon receipt of full payment, the Provider grants the Client a non-exclusive, non-transferable license to use the final graphic design work.
5. Revisions and Approvals
- 5.1 Clients are entitled to a reasonable number of revisions as specified in the project agreement.
- 5.2 Timely feedback and approvals are necessary to ensure the progress and timely delivery of the project.
- 5.3 Additional revisions beyond the agreed limit may require an additional fee.
6. Confidentiality
- 6.1 Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project.
- 6.2 This confidentiality obligation shall survive the termination of this Agreement.
7. Limitation of Liability
- 7.1 The Provider shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Services or the graphic design work.
- 7.2 The Provider's liability shall be limited to the amount paid by the Client for the Services.
8. Usage and Display of Work
- 8.1 The Provider reserves the right to display the completed graphic design work in their portfolio or promotional materials.
- 8.2 Clients may request to remain anonymous or exclude their work from the Provider's portfolio by providing a written request.
9. Governing Law and Jurisdiction
- 9.1 This Agreement shall be governed by and construed in accordance with the laws of India.
- 9.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Vadodara - Gujarat, India.
By using the Services on divclick.in, Clients acknowledge that they have read, understood, and agreed to abide by these Terms and Conditions.
